Terms of Service

DRAFT – needs lawyer review. These terms have not yet been reviewed by a lawyer and are not final. Items marked [to confirm] need legal advice before Duscode takes payment. Version: draft-2026-10-18. Questions: support@duscode.com.

1. Who we are

Duscode is provided by Yiontech Ltd (company number 16519666), registered office 3 Milford Court, Milford Street, Huddersfield, HD1 3DY, England, a company registered in England and Wales ("Duscode", "we"). You can reach us at support@duscode.com.

2. What Duscode is

Duscode is software that runs on your own computer: an AI coding agent ("Dus") that reads, edits and tests code in projects you open, using AI models you choose. Duscode Cloud (cloud.duscode.com) is the online part: your account, your plan and billing, the waitlist and invites, and the signed licence that tells the software which plan you have.

By creating an account or using Duscode you agree to these terms. If you use Duscode for an organisation, you confirm you may accept them on its behalf.

3. Who can use it

You must be 18 or over. Accounts are for one person; each Team seat is for one named person.

4. Your account

You sign in with a link we email to you; there is no password. Keep access to your email account secure, because anyone who can read it can sign in as you. Tell us at once if you think someone else has used your account. You are responsible for what happens under your account, including in the Duscode app you sign in to.

5. Your AI provider keys

Duscode works with API keys you obtain from AI providers such as Anthropic, OpenAI or Google ("bring your own key"). Your keys stay on your computer, and Duscode calls the provider directly from your computer with them. Your use of each provider is a contract between you and that provider: you agree to follow its terms and usage policies, and the provider bills you directly. With your own key, Duscode does not resell, proxy or mark up model access, and we are not responsible for providers' services, outages, charges or decisions about your provider account.

On Duscode credits (Pro, Max, Team, top-ups and the trial), each request passes through Duscode Cloud to an AI provider under our account with it, at the prices on our pricing page; the provider's usage policy then applies to you through us. [Credits terms to confirm: refunds of unused bought credits only, 12-month expiry of bought credits, monthly expiry of included credits.]

6. Your code and content

Your code, prompts, files and AI output stay on your computer and are yours. Duscode Cloud never receives them, and these terms give us no rights to them. What you may do with AI output is also subject to your provider's terms.

7. AI output and your responsibility

Duscode uses AI models. Their output can be wrong, insecure or incomplete. Dus proposes changes and commands; you decide what to approve, including when you turn on automatic approval. Review changes before you rely on them, keep backups and version control, and don't point Duscode at systems or data you are not allowed to change.

8. Acceptable use

You must not use Duscode to break the law; to abuse, overload or get around the limits or safety systems of AI providers; to use output to train or build competing AI models where a provider forbids it; to attack or test systems without permission; or to share accounts, licences or seats. You must not copy, decompile, reverse engineer or tamper with Duscode or its licence checks, except as the law allows. We may suspend accounts that break these rules or a provider's policies (section 13). The Acceptable Use Policy sets the rules out in full and is part of these terms.

8a. Systems you connect

If you let Dus deploy to, watch or fix a server, host or app, you confirm you may give that access. Dus asks before anything that costs money, goes public or can't be undone; you remain responsible for your systems and for what you approve. Business customers' personal data is handled under our Data Processing Agreement.

9. Early access

Duscode is in invite-only early access. Joining the waitlist does not guarantee an invite. Accounts created with an invite code get the Pro plan free until the date shown when you sign up (the end of the beta). After that the account moves to Free unless you choose a paid plan; we will email you before that happens. Early-access features may change, and the service may have more interruptions than later releases.

10. Plans, prices and payment

Free costs nothing. Bring your own key, Pro, Max and Team are monthly subscriptions at the prices on our pricing page when you subscribe, in pounds sterling [VAT treatment to confirm]. Payments are taken in advance each month by our payment processor, Stripe; we never see your card details. Subscriptions renew automatically until you cancel.

Team is priced per seat. The account owner chooses the number of seats, invites people to them, and is responsible for paying for them and for the people they invite.

If a payment fails, Stripe retries it for a period; your plan stays active meanwhile. If it still fails, the subscription ends and the account moves to Free.

We may change prices for future months with at least 30 days' notice by email; you can cancel before the change takes effect.

11. Cancelling and refunds

You can cancel at any time in Manage billing. Your plan stays active until the end of the month you have paid for, and is not renewed. We don't refund part months, except where the law requires it. [To confirm with legal advice: statutory cancellation rights for consumers in the UK, including the 14-day right to cancel digital services and how it applies once the service has started.]

12. Licences and offline use

The app checks your plan with a signed licence that works offline and renews automatically while you are signed in. If the app cannot reach Duscode Cloud for a few days, it falls back to Free until it can; it never stops working entirely. Removing or bypassing the licence check is not allowed.

13. Suspension and ending these terms

You can stop using Duscode and ask us to delete your account at any time. We may suspend or close an account that breaks these terms or a provider's policies, that puts others at risk, or where the law requires it. Where reasonable we will tell you why first and give you a chance to fix it. If we close a paid account without good reason, we will refund the unused part of the month.

14. Our software

Duscode is closed-source software that we license to you, not sell. While your account is in good standing you may install and use it for your own work and your organisation's work, on the plan you have. All other rights stay with us.

15. Availability and changes to the service

We work to keep Duscode Cloud available but don't promise it will be uninterrupted. We may change or improve features; if a change removes something material from a paid plan, we will tell you and you may cancel.

16. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited by law, and nothing affects your statutory rights as a consumer. Otherwise: Duscode is provided "as is" to the extent the law allows; we are not liable for loss of profits, business, data or code, or for indirect losses; and our total liability in any 12 months is limited to the fees you paid us in that period, or £100 if greater. [Limits to confirm with legal advice, including how they apply to consumers.]

17. Changes to these terms

We may update these terms. We will email you about material changes at least 30 days before they apply. The version you accepted is recorded with your account.

18. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, except that consumers living elsewhere in the UK may also bring claims in their local courts.
